About The Position

As a Corporate Attorney, you will advise clients on corporate governance, transactions, and compliance matters while providing practical, business‑oriented legal guidance to support their strategic objectives. This includes drafting and negotiating corporate agreements, supporting mergers and acquisitions, managing entity formation and maintenance, and collaborating with clients and deal teams to execute complex transactions efficiently.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in Colorado and member in good standing of the Colorado Bar.
  • 3+ years of legal experience.
  • Strong foundational knowledge of U.S. law with the ability to analyze legal issues and apply sound legal judgment.
  • Demonstrated experience drafting, reviewing, and negotiating legal documents and agreements.
  • Solid legal research, analytical, and issue‑spotting skills.
  • Strong written and verbal communication skills, with the ability to explain legal concepts clearly and concisely.
  • Ability to manage multiple matters concurrently and work independently with appropriate supervision.
  • Detail‑oriented, organized, and able to meet deadlines in a fast‑paced environment.

Nice To Haves

  • Prior experience practicing business or corporate law, including transactional or governance matters.
  • Experience drafting, reviewing, and negotiating corporate or commercial agreements.
  • Exposure to mergers and acquisitions, corporate restructurings, financings, or similar transactions.
  • Familiarity with corporate governance best practices, entity formation, and ongoing compliance requirements.
  • Experience advising private or middle‑market companies.
  • Prior client‑facing experience, including direct communication with business owners or executives.
  • Interest in business development, client relationship management, or long‑term practice growth.

Responsibilities

  • Advise clients on corporate structure, formation, governance, and ongoing compliance matters.
  • Draft, review, and negotiate corporate and commercial agreements, including operating agreements, shareholder agreements, and services contracts.
  • Support mergers, acquisitions, financings, and other corporate transactions, including due diligence and deal documentation.
  • Manage entity maintenance matters such as board actions, consents, and corporate records.
  • Counsel clients on risk management, regulatory considerations, and corporate best practices.
  • Handle portions of transactions independently, coordinating with partners on strategy and execution.
  • Communicate directly with clients, opposing counsel, and third parties to advance matters efficiently.
  • Identify legal issues proactively and provide practical, business‑oriented solutions.
  • Assist with corporate restructurings, reorganizations, and internal governance matters.
