Job Description: This job is responsible for providing legal counsel on products, services, and regulatory matters related to the Global Banking and Global Markets businesses. Key responsibilities include reviewing legal documents, interpreting laws and regulations, performing legal research, and communicating legal advice to internal partners. Job expectations include directing the work of outside counsel on related matters and coordinating the work of Paralegals or other Legal staff. This role will broadly support the Institutional Sales and Trading function for Equities within Global Markets and International. Responsibilities include advising cash equities trading desks and related support functions; negotiating and documenting agreements with customers, clients, providers, vendors, venues, and peers; and providing legal guidance across a range of matters primarily related to the global equities markets, with potential exposure to other institutional products and services. The role will also advise on corporate, commercial, intellectual property, securities, and banking law matters affecting the equities platform, participate in corporate governance routines, and collaborate closely with business partners and other control functions supporting institutional clients. In addition, the role will provide contractual and general legal support to the Sales and Trading function, primarily for Equities and Advisory Sales. This includes drafting and negotiating a wide range of agreements covering sales, execution, secondary trading, information provision, index and other licensing arrangements, and ETF Authorized Participant matters. There is a strong emphasis on client‑facing trading and onboarding documentation, as well as agreements related to data provision, technology and intellectual property licensing, market access, commission management and soft dollar arrangements, clearing relationships, and other financial services technology agreements.

Requirements

  • Experience with an internationally known law firm (or in house at an investment bank or similar financial services provider) with significant experience advising on commercial agreements, licensing, intellectual property and/or regulatory matters involving corporate, securities and banking law matters, with an emphasis on secondary trading markets.
  • At least a basic understanding of U.S. equities market structure, with an emphasis on electronic trading and market access arrangements, as well as commission management services.
  • Excellent interpersonal skills - needs to be able to communicate effectively with senior management, business associates involved in sales and trading, and support colleagues.
  • Sound judgment - needs to be able to measure risk/reward in a practical yet sound manner.

Nice To Haves

  • 3-5 years experience in the above referenced practice area.
  • Knowledge of derivatives products and related documentation a plus.
  • Experience in drafting and negotiating commercial agreements, particularly with clients, with at least a basic knowledge of US securities laws, rules, and regulations.

Responsibilities

  • Analyzes legal issues and implications on products, services, and regulatory matters related to the Global Banking and Global Markets businesses.
  • Communicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadership.
  • Interprets rulings, laws, and regulations from a compliance and business control standpoint.
  • Drafts, reviews, and/or negotiates complex legal documents, such as engagement letters, debt agreements, offering documents, and legal opinions.
  • Gathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inference.
  • Supports company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigation.
  • Directs the work of outside legal counsel and may coordinate the work of other Legal staff such as Paralegals and trains, mentors, or supports the development of peers.
  • Acts as a trusted legal advisor to the Global Markets and International Sales and Trading businesses by developing strong relationships with front line units and advising on complex legal issues impacting the Equities platform, including new and existing products and services.
  • Partners closely with Compliance and other control functions to interpret and implement laws, regulations, firm policies, and regulatory developments, including responding to business inquiries, regulatory requests, due diligence questionnaires, and supporting regulatory examinations, investigations, and disputes.
  • Coordinates with and manages outside counsel and internal legal partners globally, contributes to global legal know‑how sharing, and supports effective documentation practices, including maintaining legal templates and negotiation records.
