About The Position

This corporate in-house attorney will report to the General Counsel and will be involved in a wide array of legal matters and will provide legal support across the organization. This is a tremendous opportunity to join a team that works collaboratively and cross-functionally to support a fast-paced, ambitious organization. The successful candidate will have a primary role of drafting, negotiating and advising business units on operating, real estate, government and other commercial agreements, and will provide legal guidance to management on business transactions and related matters. The successful candidate will be a confident, hard-working, and collegial individual who desires to learn the legal nuances of the rail industry and is willing to roll up their sleeves to become an indispensable member of a team.

Requirements

  • Minimum of 3 years of relevant experience; preferably with a corporate focus, including in big-law or as in-house counsel experience in transportation, logistics or any federally regulated industry is a plus.
  • Experience identifying risks associated with business activities and developing methods for mitigating them.
  • Demonstrated ability to interact effectively with businesses and management staff and independently manage the legal aspects of complex transactions.
  • Self-starter with ability to prioritize and work autonomously in a fast-paced, relatively unstructured environment.
  • Pragmatic attorney with strong writing, communication and negotiation skills.
  • Fact-based and persuasive negotiator with focused ability to bring matters to prompt resolution.

  • J.D. degree from a top US law school.
  • Bar admission in good standing in at least one state with eligibility to practice as in-house counsel in CT or FL.
  • This position is based in our Darien, CT or Jacksonville, FL or Rochester, NY office and requires regular on-site presence.

Responsibilities

  • Draft, review, negotiate, and manage a breadth of business transaction documents and general commercial contract types (rail industry-specific agreements, grant agreements, RFP’s, construction contracts, confidential disclosure agreements, master services agreements, statements of work, contract amendments, supplier agreements, etc.) in support of regional and business unit managers.
  • Provide advice and furnish legal support to business units (operating, purchasing, finance, accounting, HR, IT, etc.) and corporate subsidiaries on a wide variety of legal subjects that are common in large companies that service sophisticated customers.
  • Support and advise real estate department on common property issues as well as the drafting, reviewing and negotiation of various types of agreements governing property rights, such as purchase/sale agreements, deeds, easements, leases, licenses and permits.
  • Coordinate due diligence efforts on potential real estate transactions, identifying legal and other potential risks.
  • Collaborate with cross-functional teams to assess legal implications and provide strategic advice during the due diligence process implementing a legal strategy designed to achieve business objectives while mitigating legal risks.
  • Advise internal stakeholders on disagreements or disputes with customers, vendors and industry partners to prevent an escalation to either claims or litigation.
  • Maintain corporate and transactional files and records.
  • Research and review local and federal law as it pertains to business transaction matters.
  • Contribute to the development and implementation of internal policies and procedures to ensure legal and ethical compliance across the organization.
  • Other projects and duties as assigned.
