About The Position

SUMMARY: Our client, a prestigious & nationally recognized law firm, is seeking a mid-level Associate to join their growing Private Equity Mergers & Acquisitions Practice. You will join a dynamic team of attorneys whose practice continues to grow in both scope and sophistication. They serve a broad range of innovative clients and take a collaborative, process-driven, and technology-enabled approach to M&A. Ideal candidates should be ambitious, driven, team-oriented and willing to help grow and support the firms national practice. RESPONSIBILITIES: Support buy-side and sell-side transactions, including leveraged buyouts (LBOs), minority investments, and exits. Draft, review, and negotiate definitive transaction agreements, equity documentation, management equity plans, and ancillary contracts. Coordinate, analyze, and manage legal due diligence processes to identify risks, collaborating with tax, finance, and intellectual property teams. Advise private equity clients on deal structuring, market terms, and regulatory compliance. Perform all other duties, tasks or projects as assigned. QUALIFICATIONS: The ideal candidate will bring specific experience counseling clients in the health care services sector , including post-acute care, professional practices, and digital health, as well as exposure to joint ventures and emerging, innovative health care business models. Strong analytical and problem-solving skills, exceptional writing and communication abilities, and the demonstrated capacity to manage transactions independently while working effectively within a collaborative team are essential. Familiarity with design thinking, jobs-to-be-done frameworks, disruptive innovation principles, and the integration of generative AI and legal technology into deal processes is a significant plus. REQUIREMENTS: JD (Juris Doctor) Degree from Accredited Law School Active Texas Bar Membership (Acceptable Alternate – CA, CO or GA) in Good Standing 4+ years of Private Equity and M&A experience, ideally gained at an AmLaw 100 or 200 firm A strong track record advising financial sponsors, portfolio companies, founders, and investors on complex transactions across a variety of industries.

Requirements

  • JD (Juris Doctor) Degree from Accredited Law School
  • Active Texas Bar Membership (Acceptable Alternate – CA, CO or GA) in Good Standing
  • 4+ years of Private Equity and M&A experience, ideally gained at an AmLaw 100 or 200 firm
  • A strong track record advising financial sponsors, portfolio companies, founders, and investors on complex transactions across a variety of industries.
