We are seeking an Associate General Counsel to support the General Counsel in the development and formulation of the overall legal strategy while protecting Brock Group's (the "Company") legal interest and maintaining its operation within the scope of the law. This corporate generalist position will be a leader to the legal function and have exposure to all facets of the Company's business, working with Company personnel at all levels. Responsibilities include, among other things, providing legal guidance on litigation, commercial, operations, compliance, governance, employment, regulatory and intellectual property matters.

Requirements

• 10+ years of in-house counsel experience or a combination of commercial law firm and in-house counsel experience.
• Active bar membership in one or more states.
• General corporate and commercial contracts experience (including negotiation and drafting).
• Experience advising senior business executives or corporate clients.
• Experience managing outside counsel or third-party legal service providers.
• Experience supervising employees.

Responsibilities

• Managing Company litigation and act as liaison with outside legal counsel to ensure effective representation of the Company's interests.
• Assisting the General Counsel with developing the legal department and function including budgeting and staffing; formulation, development, implementation, and interpretation of policies.
• Providing counsel to the Company on a wide array of commercial, finance, compliance/regulatory, governance, and corporate legal matters, collaborating closely with senior management, and other departments within the Company.
• Trusted advisor to the Company by providing guidance and counsel for accomplishing the Company's overall business objectives.
• Managing, directing, and advising a group of lawyers and paralegals (including outside counsel) for day-to-day legal matters of Company; manages the allocation of internal/external resources across law department.
• Contributing to the Company's legal strategy.
• Conducts or oversees important or sensitive internal investigations.
• Oversees the law department's adoption, utilization, and change management of legal technologies.
• Prepare and conduct training for employees on legal and compliance issues.
• Draft, review, and revise a variety of legal instruments and documents or contracts involving the Company's interests or the interests of customers to ensure proposed documents accurately protect the Company.
• Negotiate contracts and other legal issues and claims on behalf of the Company.
• Keep informed on legislation affecting the business of the Company and apprise management of recent court decisions, law changes and pending litigation affecting the Company.
