Growing together. This position will provide legal counsel and expertise to UnitedHealth Group and its subsidiaries. This individual will frequently interact with Company senior leaders and outside counsel on complex issues having impact across the enterprise. The focus will be on corporate governance activities, including Board support. This position will generally provide counsel in the areas of transactions, regulatory requirements and governance. Requirements

  • Juris Doctor (J.D.) from an accredited U.S. law school and active bar membership in at least one U.S. jurisdiction
  • 5+ years of relevant legal experience, including experience advising or supporting companies on corporate governance, regulatory and disclosure matters
  • Knowledge and experience in one or more of the following areas: Supporting international subsidiaries or cross-border transactional and governance matters, including coordination with non-U.S. counsel
  • Insurance company governance or other highly regulated industries, including familiarity with: State insurance holding company regulations NAIC model laws or similar regulatory frameworks
  • SEC reporting and disclosure requirements, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
  • Experience preparing or reviewing board and committee materials, minutes, resolutions, and governance policies and documentation
  • Solid legal research, drafting, and analytical skills, with the ability to manage matters with appropriate supervision

Nice To Haves

  • Law firm experience advising public companies or insurance clients
  • In-house experience at a public company or insurance organization
  • Experience with entity management, subsidiary governance, or corporate secretarial functions
  • Familiarity with international transactions
  • Familiarity with governance considerations in transactional contexts

Responsibilities

  • Lead a broad range of transactions for the Company and its subsidiaries spanning strategic public company deals and key international transactions
  • Monitor and maintain various corporate governance practices and policies, including researching and advising the Company on governance best practices, both domestically and internationally
  • Provide legal support for boards of directors (at both the public company and subsidiary levels)
  • Advise on a range of regulatory matters relevant to the Company’s significant subsidiaries, including insurance companies and HMOs
  • Assist with the preparation and filing of the Company’s SEC and regulatory filings
  • Corporate governance activities, including compliance with laws and regulations
