About The Position

The Associate General Counsel will partner with the General Counsel and be a key member of a team that values integrity, innovation, accountability, and excellence. will support the legal function at MISTRAS by assisting the General Counsel in all legal and compliance activities at MISTRAS. and manage litigation, activities, draft, review and negotiate company agreements, review and monitor compliance and governance programs and counsel executives on risk mitigation.

Requirements

  • Must have a JD degree from an accredited law school and be a current member in good standing with a state bar with ability to obtain limited in-house license in New Jersey if not admitted in New Jersey.
  • Must have a minimum of ten years of substantive legal experience in-house with a corporate legal department and/or law firm experience.
  • Must have experience handling labor and employment matters.
  • Must have experience with drafting, negotiating and managing complex corporate contracts including SaaS and data privacy terms.
  • Ability to maintain a professional representation of the company.
  • Microsoft office and Excel abilities.
  • Ability to thrive in a fast-paced environment and work in a team environment and independently.
  • Strong verbal and writing skills.
  • Superior interpersonal skills.
  • Well-developed organizational, analytical, and follow-up skills.
  • Ability to work independently and meet demanding time constraints.
  • Ability to multi-task.
  • Demonstrated initiative and a self-starter.
  • Ability to lift 30 pounds

Responsibilities

  • Draft, review, and negotiate a broad range of commercial agreements/renewals and contracts including master service agreements with large industrial clients and software licensing agreements.
  • Manage litigation, disputes, and reporting.
  • Advise and manage labor and employment cases, benefit and workers compensation claims.
  • Assist in SEC reporting and filings and corporate governance matters.
  • Manage and assist in the selection, reporting, and renewal of the Company's insurance program.
  • Review and update Company policies as needed.
  • Support and protect the Company's intellectual property, trademark and patent portfolio with the assistance of external counsel.
  • Ensure compliance with US and International laws, regulations and policies.
  • Identify and assess legal risks and opportunities within various parts of the business and advise accordingly.
  • Recognize when to elevate certain matters to the attention of the General Counsel.
  • Assist with internal training on legal issues.
  • Establish and maintain relationships, credibility and trust with management, clients, stakeholders, and legal team members.
  • Perform other tasks as assigned from time to time by the General Counsel.
  • Able to travel at times as needed.
