About The Position

Millennium’s Legal department provides legal advice and guidance to the firm globally, regarding all aspects of the firm’s business and operations. The group also handles the legal aspects of all firm initiatives, as well as numerous legally intensive projects. We have an opening for an Associate General Counsel and are looking for a mid-level lawyer to support and lead legal workstreams across structured credit investments, direct lending, ABS/RMBS/CMBS, synthetic risk transfers (SRT/CRT), CLO issuance, back‑leverage facilities, SPV formation and governance, private credit and/or debt capital markets (DCM) transactions and other illiquid asset classes. The role is hands‑on and deal‑oriented: you will independently run transactions end‑to-end, partner directly with investment professionals and other internal stakeholders, and manage external counsel and counterparties. Prior experience in structured finance or CLOs is highly valuable. This position requires an individual who is able to deliver in a fast-paced, demanding, but also collegial and collaborative, environment.

Requirements

  • Min of 5 years of experience in the Structured Finance / Debt Capital Markets (or similar) group of a major U.S. law firm/legal department of an investment adviser
  • Strong command of deal flow in structured credit, lev fin, and debt capital markets
  • Solid understanding of hedge funds and applicable securities regulations, including relevant provisions of the Securities Act, Advisers Act & Investment Company Act and related MNPI, conflicts and fiduciary issues.
  • Strategic thinker with the ability to balance legal risk and business goals.
  • Outstanding verbal and communication skills, with poise and confidence to interact with individuals of all levels.
  • Proactive and efficient multi-tasker, possessing an ability to work one-on-one with business partners in a highly dynamic environment.

Responsibilities

  • Support growth of business across various asset classes and related financing arrangements
  • Work directly with senior legal colleagues, investment professionals/risk, operations/middle office, compliance/tax/accounting in connection with investments in the applicable assets classes
  • Liaise with outside counsel and counterparty counsel as needed
  • Support existing legal work in transactional and corporate areas as needed and bandwidth supports
