About The Position

The Associate General Counsel serves as the chief legal advisor to the organization and its affiliated entities, providing strategic, practical, and hands on legal leadership across all aspects of the business. This role is responsible for managing complex commercial transactions, regulatory compliance, enterprise risk management, corporate governance, and day to day legal support for executive, sales and operational teams. The AGC coordinates internal stakeholders and outside counsel to ensure legal risk is identified, mitigated, and aligned with business objectives.

Requirements

  • Juris Doctorfrom an accredited law school; active bar membership in good standing.
  • Strong knowledge of equipment finance and leasing, syndications, collections and capital markets.
  • Previous experience in general corporate matters is essential.
  • Strong background in contract drafting and negotiation.
  • Demonstrated experience with regulatory compliance, risk management, and policy development.
  • Proven ability to manage multiple entities and stakeholders simultaneously in a fast‑paced environment.
  • Practical, business‑oriented approach with strong judgment and attention to detail.
  • Proficient in drafting and negotiation
  • Ability to operate as both strategic advisor and hands‑on practitioner
  • 10-15 years’ experience preferred

Responsibilities

  • Commercial Agreements
  • Review, draft, negotiate, and manage a wide range of commercial agreements, such as lender pledge and warehouse line agreements, amendments and ancillary documentation intercreditor agreements; subordination agreements; vendor agreements; broker and dealer agreements; and NDA templates.
  • Prepare, maintain and update standard document templates for various entities.
  • Draft ancillary and special transaction documents, including progress payment documents, intercompany subleases, transfer and assignment agreements, term sheets and other custom documentation as needed.
  • Syndications
  • Draft and negotiate loan and lease sale and assignment agreements and UNL’s.
  • Support syndication structuring and ensure documentation reflects deal terms.
  • Review collateral documents for transferability and consent requirements.
  • Coordinate consents, notices, and closing mechanics.
  • Ensure proper transfer, perfection, and priority of assigned interests.
  • Securitizations
  • Review and update PPMs to ensure accuracy and compliance with internal policies etc.
  • Draft and obtain corporate and transaction documents for ABS deals.
  • Complete required forms, including beneficial ownership and KYC.
  • Coordinate document collection, diligence, and closing processes.
  • Support securitization closings and ongoing compliance requirements.
  • Legal Advisory & Operational Support
  • Respond to ongoing legal research requests and provide legal interpretations to business teams.
  • Support teams such as account servicing, customer service, titling, closing, sales, legal, accounting and recovery teams by:
  • Preparing documents
  • Providing legal guidance on customer communications
  • Advising on issue resolution and risk mitigation
  • Compliance & Risk Management
  • Monitor, review, and interpret new laws and regulations impacting CELF and affiliated entities. Draft summaries of same.
  • Manage and respond to recurring legal and compliance requests across the organization.
  • Partner with internal stakeholders to implement regulatory changes, develop policies, and conduct internal training.
  • Maintain elements of the ERM program, including drafting and updating ERM materials.
  • Respond to regular information and compliance requests from outside sources to maintain good standing, licenses, and corporate filings.
  • Obtain, renew, and manage business licenses across jurisdictions.
  • Draft, update, and maintain privacy policies for CELF and affiliate websites.
  • Draft and update corporate policies and procedures for CELF and affiliate websites.
  • Ensure consistency and compliance across all affiliated entities
  • Corporate Governance
  • Manage and update corporate governance for various entities.
  • Draft operating agreements, resolutions etc.
  • Outside Counsel and Litigation Management
  • Manage outside counsel, including scope, staffing, and deliverables.
  • Oversee litigation strategy, discovery, motions, and settlements.
  • Monitor budgets, review invoices, and control legal spend.
  • Evaluate counsel performance and ensure quality and efficiency.
  • Provide updates on case status, risk, and strategy to stakeholders.
