About The Position

The Associate General Counsel will assist and advise on legal issues relating to the Company’s business of providing music for commercial establishments as well as other transactional matters. The ideal person for this position will be a team player with highly collaborative interpersonal skills, take pride in personal excellence, and demonstrate the energy and adaptability needed to thrive amid shifting priorities.

Requirements

  • A Juris Doctorate from an accredited law school.
  • 8+ years of general corporate development law experience required, 1-2 years of in-house experience preferred.
  • Must be licensed and in good standing to practice law in the United States.
  • Demonstrated knowledge and experience in drafting and negotiating a wide range of commercial agreements including subscription agreements, Master Service Agreements and Statements of Work, strategic partner agreements, technology licensing agreements and reseller agreements (including Value Added Reseller Agreements), distributor agreements, and independent sales representative agreements.
  • Demonstrated knowledge and experience with advertising and commercial law matters. Basic knowledge of music licensing laws a plus.
  • Experience with technology companies preferred.
  • Desire and ability to work on a wide variety of matters, including those outside of subject-matter expertise.
  • Ability to make decisions and pivot quickly and fluidly, think practically and in a solutions-oriented manner.
  • Ability to maintain strong working relationships, maintaining composure in a demanding atmosphere.
  • Strong analytical capabilities and judgment.
  • A practical and proactive problem-solver who possesses strong business acumen and is confident, mature and able to influence.
  • Excellent time management skills with the ability to prioritize and multitask and work under shifting deadlines in a fast-paced environment.

  • Must have legal right to work in the U.S.

Responsibilities

  • Responsible for reviewing and negotiating agreements with third parties in support of the music for commercial establishment business.
  • Advise stakeholders on legal risks related to the licensing of content for inclusion in the music for commercial establishment business and transactional revenue generating opportunities.
  • Draft and negotiate a wide range of commercial and technology agreements, including strategic business agreements, subscription service agreements, and consulting services agreements.
  • Review and advise on marketing and advertising materials.
  • Demonstrated ability to manage complex legal transactions and drive them to close promptly.
  • Work collaboratively with business and legal leaders to implement and execute strategic business and legal priorities.
  • Identify risks and advise cross-functional stakeholders on developing legal areas (including ability to conduct legal trainings as necessary).
  • Work collaboratively with business and legal leaders to identify legal priorities and implement legal operations’ strategies for commercial agreements.

Benefits

  • Base salary range of $193,000 to $243,500 depending on skills, qualifications, and experience.
  • Eligibility for discretionary short-term and long-term incentives.
