About The Position

Associate General Counsel Senior - Commercial Technology Transactions Location: Indianapolis, IN or Atlanta, GA. This role requires associates to be in-office 3 days per week, fostering collaboration and connectivity, while providing flexibility to support productivity and work-life balance. This approach combines structured office engagement with the autonomy of virtual work, promoting a dynamic and adaptable workplace. Alternate locations may be considered if candidates reside within a commuting distance from an office. The Associate General Counsel Senior is responsible for supporting complex enterprise-wide sourcing and supply agreements with a focus on technology in a managed care environment (Medicare, Medicaid) transactions such as Cloud, SaaS, Software, Hardware, Managed IT Services, Software Development and large IT/BPO Outsourcing Agreements. How you will make an impact: The successful candidate will have experience with and be capable of: Developing and negotiating a broad spectrum of complex vendor and supply technology transaction types, with experience in health care technology or managed care a plus. Advising on complex legal issues related to cloud computing, machine learning and artificial intelligence, data rights, Health IT, open-source software and compliance with evolving privacy and information security laws and regulations as they pertain to vendor transactions. Working successfully with core partners in the Company's Information Technology, Digital, and Procurement organizations, as well as liaising with business unit legal colleagues and groups such as Information Security, Privacy, Tax, Finance and Corporate Development and providing advice and assistance to management and executives. Handling complex, novel, high-value projects with broad organizational impact and moderate to high level of risk; and Supervising outside counsel and managing associated budgets.

Requirements

  • Requires a JD, current license to practice law and minimum of 15 years of specific industry and/or technical legal experience post licensure including experience in managing outside counsel; or any combination of education and experience, which would provide an equivalent background.

Nice To Haves

  • 10 years or more of legal experience with technology transactions including as the primary attorney on major technology transactions preferred.
  • Excellent written and oral communication skills, particularly contract drafting and negotiation skills, and the ability to effectively present information to, and advise, senior management preferred.
  • Ability to work well both independently and as part of a team with a manager preferred.
  • Ability to thrive in a complex corporate environment preferred.
  • Knowledge of managed care industry preferred.
