Our Impact: The Securities Department provides legal counsel and full execution support for mortgage securitization programs and other securities-related transactions. This includes Single-Family and Multifamily securities and support of related company and regulatory initiatives and proposals, development of new products, product enhancements and strategic changes. Requirements

  • Juris Doctor (JD) degree; membership in good standing in a state Bar and a minimum of eight years of legal experience
  • Minimum 10 years of related work experience
  • Transactional experience in securitization, structured finance or capital markets with a major law firm or corporate law department
  • In-depth knowledge of federal securities laws and securities market practices
  • Ability to lead and manage transactions, including drafting and negotiating transaction/disclosure documents for complex residential (single-family and multifamily) MBS issuances
  • Understanding of legal, market and regulatory issues affecting the securities and MBS markets
  • Ability to work independently in a fast-paced environment and to collaborate with a team of attorneys and legal professionals in order to deliver results and meet business objectives
  • Subject-matter expertise and excellent technical drafting, communication, organizational and project management skills to directly lead the execution of complex MBS transactions
  • Intellectual skills to understand business goals, processes and stakeholder interests and to identify, explain and mitigate applicable legal risks
  • Problem-solving mindset, creative thinking, ease with client interactions and ability to build consensus
  • Adaptability to use AI tools and to continue development of AI skills and competencies
  • Ability to remain agile and adaptable in a dynamic corporate environment
