About The Position

Provides legal advice on the design, governance, and administration of executive, broad based, and business unit incentive compensation programs in a highly regulated financial services environment. This role delivers practical, risk-informed legal advice in support of Truist’s business objectives and priorities. It advises senior leadership and partners closely with Human Resources on complex compensation-related matters, including cash and equity based compensation programs, incentive plans and award agreements, executive employment and severance arrangements, retention agreements and other compensation-related agreements, Internal Revenue Code compliance, wage and hour compliance, and pay equity. This attorney monitors legal developments affecting compensation programs, proactively identifies legal risk, and advises internal clients on emerging risks and best practices. The role also supports compensation-program governance, including charter and materials reviews and other responsibilities related to management and board committees. Partners closely with Corporate and Securities in-house attorneys on matters related to executive compensation and benefits programs, including in connection with public disclosures. In addition, leads and develops other legal professionals, maintains strong, collaborative relationships with internal colleagues and clients, and manages outside counsel as needed.

Requirements

  • Juris Doctorate degree from an ABA accredited law school and licensed to practice law in good standing
  • Ten years of post-bar experience in a law firm, government, and/or corporate settings.
  • Possess superior written and verbal communication skills
  • Ability to prioritize matters, utilize time management skills, and move between matters fluidly
  • Ability to handle a heavy workload, manage stress effectively and meet critical deadlines
  • Able to work autonomously without close supervision
  • Team-oriented mentality and excellent interpersonal skills
  • Demonstrated proficiency in basic computer applications, such as Microsoft Office software products

Nice To Haves

  • 10 years of post‑bar legal experience, with substantial depth in executive and incentive compensation matters.
  • Experience in the financial services sector, including strong working knowledge of the Interagency Guidance on Sound Incentive Compensation Policies.
  • Demonstrated experience advising on the design, structuring, and implementation of cash‑ and equity‑based compensation programs, including executive and broad‑based incentive plans, as supporting compensation governance.
  • Experience advising on and drafting equity award agreements, incentive plans and guidelines, executive employment, change‑in‑control, severance, and retention agreements, and nonqualified deferred compensation arrangements.
  • Strong working knowledge of rules and regulations impacting compensation programs, including executive compensation tax rules such as Internal Revenue Code Sections 83, 409A, 162(m), and 280G.
  • Strong working knowledge of federal and state wage and hour laws, including FLSA classification, pay transparency, and wage payment laws, as well as experience advising on related pay practices and pay equity analyses.
  • Familiarity with securities law, disclosure requirements, registration rules, NYSE Listing Standards, and proxy advisor policies applicable to executive compensation programs.
  • Familiarity with ERISA requirements related to employee benefit plans.
  • Ability to manage complex legal issues, exercise sound judgment, and communicate practical guidance to senior executives and cross‑functional partners.
  • Attention to detail and proven ability to lead and develop other legal professionals, manage competing priorities, and work independently in a fast‑paced, highly regulated environment.
  • Experience supporting compensation‑related matters in connection with mergers and acquisitions, including due diligence and integration support.
  • Strong written and verbal communication skills, with the ability to translate complex legal concepts into practical guidance.

Responsibilities

  • Provide significant internal client legal support day to day on an independent basis, potentially as lead legal liaison.
  • Responsible for assessing complex legal risk, providing legal advice, and/or assisting in resolving legal problems which may represent potential exposure to the company.
  • Keeps abreast of legislation, regulations, and case law developments that affect the company and the banking industry in area of practice.
  • May prepare and/or review documents and other instruments, represent the company in transactions, litigation, bankruptcy matters, or alternative dispute resolutions (as applicable), performing legal research and analysis, maintaining files and records
  • Identify need for and when necessary, select, engage, and direct outside counsel to undertake specific matters.
  • Serve as an individual contributor but frequently provides work direction and supervision to other legal staff regarding support on active cases or projects.
