About The Position

The Associate Counsel position at Alcoa involves providing legal advice on corporate governance and securities compliance matters, supporting the Corporate Secretary function, and ensuring compliance with federal securities laws. Requirements

  • Law degree from an accredited college or university and licensed to practice law in at least one U.S. jurisdiction.
  • 2-4 years of relevant experience in a law firm or as in-house counsel for a publicly traded company.
  • Knowledge of corporate and securities laws, with a willingness to develop expertise in these areas.
  • Ability to counsel and work with internal clients of diverse backgrounds and experience levels.
  • Exceptional attention to detail and ability to manage multiple high-priority projects.

Responsibilities

  • Provide legal advice on corporate governance and securities compliance matters.
  • Review and advise on securities law disclosure and compliance, including Forms 10-K, 10-Q, and 8-K.
  • Prepare materials for the annual meeting of stockholders.
  • Monitor and advise on legal and regulatory developments to ensure compliance with SEC and NYSE requirements.
  • Advise on corporate governance, executive compensation, and securities trading matters.
  • Prepare and maintain materials for the Board of Directors and its committees.
  • Assist on financing and corporate transactions, including public and private securities offerings.
  • Provide legal advice related to investor relations and public disclosure issues.
  • Support governance of the Company's global subsidiaries and maintain corporate books and records.
  • Develop and administer compliance processes and training for corporate policies.
