About The Position

The Associate Counsel – IP & Contract is a key member of REP’s Legal team, responsible for managing and supporting REP’s intellectual property portfolio—primarily patents, with meaningful trademark responsibilities—and partnering with business teams across Product, Engineering, Sales, Marketing, and Operations to draft, negotiate, and review commercial agreements. This role works closely with internal stakeholders and outside counsel to protect REP innovation, enable business growth, and provide practical, business-forward legal guidance. The ideal candidate is a hands-on utility player who enjoys owning workstreams, building scalable processes, and balancing risk with speed in a fast-moving environment. This role is based in Westminster, CO with a minimum of three days per week in-office. No relocation support is available.

Requirements

  • Ability to read, analyze, and interpret the most complex documents including scientific and technical documents, financial reports, and legal documents.
  • Ability to respond effectively to the most sensitive inquiries or complaints.
  • Ability to write legal contracts, patent applications, and persuasive legal arguments with little guidance or review.
  • Ability to make effective and persuasive speeches and presentations on controversial or complex topics to top management, public groups, and/or boards of directors.
  • Ability to apply principles of logical or scientific thinking to a wide range of intellectual and practical problems.
  • Ability to deal with nonverbal symbolism (formulas, scientific equations, graphs, musical notes, etc.,) in its most difficult phases.
  • Ability to deal with a variety of abstract and concrete variables.
  • Ability to calculate figures and amounts, such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume.
  • Ability to apply concepts of basic algebra and geometry.
  • Proficiency with the following
  • Microsoft (advanced Word/Docs; comfortable with track changes, redlines, formatting, version control; Excel/Sheets and PowerPoint/Slides as needed)
  • PDF software (Adobe Acrobat or equivalent) for mark-up, editing, combining, commenting
  • Contract management and E-signature platforms (e.g., DocuSign, Adobe Sign) and basic contract execution workflows
  • Legal research tools (e.g., Lexis, Westlaw) and ability to efficiently locate and synthesize legal authority
  • IP tools and systems (experience with, or ability to quickly learn, patent/trademark docketing systems; familiarity with USPTO systems such as Patent Center/PAIR and TSDR; coordination with foreign counsel platforms as applicable)
  • IP search and competitive research tools (patent and trademark searching; familiarity with common databases/tools is a plus)
  • Collaboration and project management tools (Teams; SharePoint; OneNote)
  • Bachelor's degree (B.A./B.S.) in mechanical engineering, physics, or similar discipline from four-year college or university
  • Law degree (J.D.) from accredited law school
  • Licensed to practice in Colorado, able to waive into the Colorado bar, or able to meet the requirements for single client licensure
  • USPTO registration as patent attorney
  • 4 to 7 years legal experience as patent and intellectual property attorney, including significant patent prosecution experience

Nice To Haves

  • Meaningful trademark experience, including clearance and prosecution.
  • Strong experience in commercial contract drafting and negotiation.
  • Experience with privacy policies, advertising/marketing issues, or consumer brand legal support.
  • Experience with IP enforcement (online enforcement, demand letters, dispute resolution).
  • Experience with litigation management and outside counsel oversight.

Responsibilities

  • Patent portfolio management and strategy: Partner with Product/Engineering and leadership to identify inventions, evaluate filing opportunities, and support an IP strategy aligned with REP business priorities.
  • Patent drafting and prosecution (U.S. and foreign): Draft patent applications and responses, manage U.S. prosecution, and coordinate foreign prosecution through outside counsel (including instructions, review, and docket/budget oversight).
  • Trademark clearance and prosecution support: Support trademark search/clearance efforts, coordinate trademark filings and prosecution through outside counsel, and assist with portfolio maintenance and related internal guidance.
  • IP rights enforcement and risk mitigation: Support IP monitoring, marketplace enforcement/takedowns, demand letters, licensing or settlement discussions, and escalation to outside counsel as needed.
  • Commercial contract drafting and negotiation: Draft, review, and negotiate a wide range of commercial agreements (e.g., NDAs, vendor/supplier contracts, marketing/sponsorship agreements, licensing, promotions, SaaS/technology agreements, and other business contracts).
  • Cross-functional legal counseling: Provide practical, solutions-oriented advice to Sales, Marketing, Product, and other business teams on contract terms, IP risk, advertising/marketing rights usage, and related legal issues (including consumer privacy support as needed).
  • Outside counsel and dispute/litigation management: Manage and coordinate with outside counsel on IP, trademark, patent prosecution, disputes, and litigation matters as needed (including budgets, internal coordination, and status reporting).
  • Assigns, trains, schedules, or oversees work of legal assistant/paralegal.
