Centric Brands, a leader in the design, sourcing, marketing and distribution of branded apparel and accessories, is seeking an Associate to join its Corporate Business Development and M&A team. This high-profile role is responsible for driving Centric Brand’s acquisitions and inorganic growth agenda, and will work directly with the Chief Strategy Officer (CSO) and Vice President, Business Development and M&A.

Requirements

  • Bachelor’s degree with strong history of academic achievement.
  • 2-5 years previous transaction experience, ideally investment banking, private equity or corporate development. Previous sector experience is a plus, but not required.
  • Strong commercial and financial acumen, strategic thinking capabilities.
  • Ability to build from a blank sheet valuation models - including LBO, DCF, comparables, sensitivities, etc.
  • Basic accounting knowledge, including ability to perform pro forma and cash flow analyses.
  • Ability to structure transactions with input from tax, legal, and treasury and manage the approval process.
  • Work with integration team to ensure maximum value delivered from acquisitions.
  • Proven track record of building strong relationships internally and externally with tangible examples of working alongside others and influencing senior stakeholders.
  • Exceptional modeling skills including complex financial analysis, input sensitivity and returns.
  • Excellent project management skills and demonstrable experience of establishing credibility.
  • Self-starter, high energy, delivers against goals with minimal supervision.
  • Passion for driving value-creating opportunities, entrepreneurship and working autonomously.
  • Clear and succinct communicator, ability to adapt to a fast paced ever changing environment.
  • Proficient in all Microsoft productivity software (Excel, Powerpoint, Word, Outlook, etc.).

Responsibilities

  • Support the development of the Business and Corporate Development agenda with agility and pace, including the identification of M&A opportunities, including strategic and financial assessment, and helping translate Centric’s overall growth strategy into BD priorities.
  • Support the CSO and his team on BD projects, including acquisitions, licensing agreements, disposals, joint ventures and strategic partnerships, distribution agreements and equity transactions involving third parties.
  • Support end-to-end project management of transactions, from origination to completion including post-completion obligations and commitments, while assuring that all transactions follow the BD approval process, including writing approval papers.
  • Oversee and support the development of valuation and business models to support BD projects, and ability to challenge and validate assumptions with market teams.
  • Own and lead the due diligence process, including coordinating external advisors, consolidating information, analyzing diligence findings, and identifying potential risks, implications, and interrelations of findings with business case assumptions and transaction documents.
  • Collaborate with VPs, M&A legal and external advisors in the review and negotiation of core transaction documents.
  • Partner effectively with the Integration team to both incorporate all Integration assumptions into business cases, support development of the integration plan, and assure proper handoff of transactions to Integration post-closing.
  • Support day-to-day Investment Committee matters including strategic, financial, operational and governance related matters and composition of bi-weekly Investment Committee presentations.
  • Support acceleration of Centric Brands including being a relationship partner and resource for the BD team and each division’s leadership teams.
  • Lead the preparation of briefing and approval materials to Centric Brands executives and other stakeholders.
