About The Position

We are seeking to fill the role of Associate Contracts Counsel. The ideal candidate enjoys collaborating with clients, industry partners and internal teams to maximize outcomes for homeowners.

Requirements

  • Juris Doctor from an ABA accredited law school.
  • Active bar member in good standing.
  • 2+ years’ experience drafting, revising, and negotiating commercial agreements with a corporate legal department or law firm.
  • Experience or training with contracts management practices and software.
  • Excellent verbal and written communication skills with the ability to clearly communicate complex concepts to internal partners.
  • Ability to interpret and apply applicable laws/regulations.
  • Ability to work collaboratively with management, other internal team members, and external personnel.
  • Ability to work independently to efficiently handle multiple matters and changing priorities in a timely and accurate manner.
  • Ability to think critically and use sound judgment to develop thoughtful legal and business recommendations in the course of negotiating agreements.
  • Excellent attention to detail and ability to spot potential issues.
  • Basic proficiency in Microsoft Office Suite (Word, Excel, PowerPoint and Outlook).

Nice To Haves

  • Experience with contracts related to mortgage servicing and/or technology agreements.
  • Experience delivering presentations to clients and executive management.
  • Expert-level proficiency in Microsoft Office Suite (Word, Excel, PowerPoint and Outlook).
  • Experience with Conga contracts management software.

Responsibilities

  • Draft, review, and negotiate vendor/service provider agreements (MSAs, SOWs, NDAs, SaaS agreements, and licensing/technology agreements), ensuring legal compliance and risk mitigation.
  • Work with business stakeholders to provide solutions to legal and operational issues raised in negotiations.
  • Develop negotiation strategies, standard contractual terms, and update agreement templates based on legal compliance and company strategies.
  • Assist in contract management/tracking process (updating system of record, maintaining approvals, summarizing non-standard terms, etc.).
  • Prepare executive summaries outlining negotiation progress, outstanding issues, and associated risks.
  • Assist in drafting letters and engaging in discussion with counterparties who have raised or are the subject of contractual or performance issues.
  • All other duties as assigned.
