About The Position

The Assistant General Counsel provides legal guidance and support for various MVHS activities and issues, such as payor contracting, compliance with health laws and regulations, business transactions, medical malpractice, corporate governance, HIPAA and confidentiality, contract negotiation/drafting/review, real estate, tax-exemption, human resources/civil rights bioethics, patient care issues, fraud/abuse, hospital medical staff matters, graduate medical education and research, antitrust, guardianship and Mental Hygiene Matters, and insurance. Participates in monitoring legislative and regulatory developments and in providing education to board, management, physicians and other staff.Core Job Responsibilities

Requirements

  • Juris Doctor (JD) degree from an accredited law school
  • 2 years of experience practicing healthcare law and litigation and/or in-house counsel.
  • In-depth knowledge of federal, state, and local healthcare laws, regulations, and best practices.
  • Proven ability to handle complex legal matters independently and collaboratively, with excellent analytical and problem-solving abilities.
  • Strong negotiation, communication, and interpersonal skills, with the ability to build effective relationships with internal stakeholders and external parties
  • Demonstrated commitment to upholding ethical standards and promoting diversity, equity, and inclusion in the workplace.
  • Admission to the New York State Bar.

Nice To Haves

  • Experience with Article 81 guardianship matters and Mental Hygiene proceedings is a plus.

Responsibilities

  • Assists, advises and makes recommendations on the full scope of legal matters affecting MVHS and its affiliated hospitals and other corporations
  • Represents the system in non-medical malpractice court proceedings, such as Mental Hygiene proceedings, Treatment Over Objections, Article 81 guardianship proceedings, and other similar matters
  • Prepares, reviews, analyzes and negotiates contractual arrangements entered into by MVHS including computer software license agreements, equipment purchase agreements, real estate agreements; physician employment agreements, managed care agreements, financing agreements, sale and acquisition agreements, affiliation and services agreements, research and licensing agreements
  • Assesses, advises, and makes recommendations on the nature and risks of proposed and existing contractual arrangements
  • Advises and instructs staff on the review and analysis of agreements for business and legal issues
  • Assists medical records and other staff in responding to subpoenas, court orders and other requests for medical records and other information
  • Assists with responses to investigations and subpoenas from outside regulatory agencies and entities
  • Prioritizes assisting hospital staff with prompt identification and resolution of legal issues in the patient care setting so that they are handled promptly in support of MVHS's mission for quality patient care
  • Identifies potential litigation exposures and works with colleagues and outside professionals
  • Assists in making recommendations on risk management practices and potential malpractice and other liability issues. Coordinates these recommendations with the Risk Management and Quality Management departments
  • Provides legal guidance and support to executive leadership on new and existing laws that may impact operations
  • Provides legal advice with respect to corporate governance and administration, and assists in preparing or reviewing bylaws, minutes, resolutions, policies, procedures and forms. Prepares resolutions and forms
  • Provides support for the system's risk management activities by anticipating and guarding against legal risks to the System
  • Drafts, reviews, and approves policies and procedures, regulations, and other legal documents
  • Monitors legal developments, including proposed and existing legislation and regulations, and provides education to board, management, physicians and other staff
  • Assists in handling complex legal matters, business transactions, or other projects as assigned
  • Collaborates with external counsel as needed, coordinating legal strategy and representing the organization's interests in legal proceedings
  • Performs related duties as assigned
