As Assistant General Counsel at Arteris, headquartered in Campbell, California, you will play a key leadership role in enabling our global innovation in semiconductor IP, system-on-chip (SoC) architectures and chiplet solutions. You will partner with engineering, product, sales, business development and senior leadership to structure, negotiate and execute complex IP, technology and commercial agreements that underpin our growth strategy and global expansion.

  • Draft and negotiate software, commercial IP licenses, EDA (electronic-design-automation) and related IP licenses (inbound and outbound) worldwide, including supporting global accounts.
  • Draft and negotiate commercial contracts including vendor agreements, partner & reseller agreements, sales and presales contracts, facilities/leases and operations agreements.
  • Litigation, patents and global IP protection measures
  • Ability to use and strategize on contract lifecycle, review and optimization via contract-lifecycle management system.
  • Participate in and review M&A due diligence, product-lifecycle reviews and special projects supporting organic and inorganic growth initiatives.
  • Provide day-to-day Assistant General Counselling to business teams on technology/licensing issues, risk assessment and contract strategy.
  • JD or equivalent and membership in a U.S. bar; minimum ~10 years in technology/IP/commercial legal roles, preferably in house at a U.S. public company or high-growth tech business.
  • Experience and good judgement in use of AI tools in legal practice.
  • Proven track record drafting, negotiating and executing IP/technology licenses (semiconductor IP, software/EDA), vendor/partner/sales agreements and international contracts.
  • Strong business-partnering skills: able to interface with C-level, product/engineering/sales teams, adapt to fast-paced negotiation cycles and global culture.
  • Excellent drafting and negotiation skills, with strong judgement, ability to provide practical business-oriented legal advice and manage multiple regions/time zones.
  • Hands-on experience with contract lifecycle systems, contract automation/e-signature tools and processes; comfortable driving efficiencies and best-practice workflows.
  • Ability and flexibility to work with multiple regions, time-zones, cultures, and handle urgent, high-impact transactions in a high-growth semiconductor/tech environment.
  • Familiarity with the semiconductor industry (IP cores, chiplets, SoCs) and hardware/software licensing models.
  • AI tool usage (e.g. CoPilot, ChatGPT, Grammarly) experience
  • Experience using Malbek (or similar CLM) and building contract-management frameworks.
  • Open source licensing and compliance experience.
  • Experience working in EMEA, APAC and global accounts, including cross-border licensing.
  • Calm, patient and strong negotiation presence in high-stakes settings.
