About The Position

Orbia is hiring an experienced Assistant General Counsel to support complex, high-value commercial transactions and strategic projects across its global business groups. This is a remote role, with a preferred location in St. Gabriel, Louisiana. The Assistant General Counsel will serve as a senior legal advisor to executive leaders, project directors, and third-party customers and vendors, bringing deep expertise in complex contracting, risk management, and deal execution. In this highly autonomous role, the individual will provide senior-level legal counsel and hands-on contract support for complex commercial transactions and strategic projects across all Orbia business groups and regions. As a strategic legal advisor, the role involves leading the drafting and negotiation of sophisticated agreements (sales, procurement, services, intellectual property, and technology), including engineering, construction, and large capital projects (CAPEX). Experience with transactions involving U.S. government funding—particularly U.S. Department of Energy matters—is strongly preferred. The role also involves leading teams and cross-functional initiatives focused on contracting excellence and continuous improvement.

Requirements

  • Juris Doctor from an accredited U.S. law school or equivalent degree.
  • Fluency in English.
  • Active admission to practice law in the applicable jurisdiction.
  • 15–25+ years of legal experience, with demonstrated expertise in complex commercial contracting and negotiations.
  • Ability to travel 10% of the time.
  • Experience working individually/remotely.

Nice To Haves

  • Experience with transactions involving U.S. government funding—particularly U.S. Department of Energy matters.
  • Strong preference for a combination of in-house experience at a global company and private practice at an established law firm.
  • Fluency in Spanish.

Responsibilities

  • Advise on complex commercial transactions and help ensure compliance with applicable laws, regulations, and company policies.
  • Lead the drafting and negotiation of complex, high-value commercial agreements, including sales, procurement, licensing, technology, services, and M&A-related contracts.
  • Provide legal support for priority transactions and complex contracts, including engineering and construction agreements and large capital project workstreams.
  • Partner with legal teams and cross-functional stakeholders to align strategy, risk posture, and deal execution.
  • Identify potential compliance issues and coordinate with the compliance team to ensure appropriate review and resolution.
  • Develop and deliver practical training and guidance on commercial contracting best practices to mitigate risk and improve efficiency.
  • Enable contract operations by improving standards, templates, playbooks, and processes (including automation where appropriate), and training internal stakeholders and business partners.
  • Build scalable tools and repeatable processes that empower the business to manage appropriate contracting tasks with confidence.
  • Engage and manage outside counsel selectively on highly material matters, with clear scope and disciplined budget management.
