As Ambient’s Assistant General Counsel, you will provide legal support across the organization, focusing on corporate governance, commercial contracting, compliance, litigation management, and M&A transactions. This role requires a strategic thinker with strong business acumen and the ability to manage complex legal matters in a fast-paced environment. This role will focus most on our subsidiaries and growth in the East and Midwest regions and should be available to work EST and/or CST hours.

  • Corporate Governance: Advise on board and shareholder matters, entity management, and corporate records.
  • Commercial Contracts: Draft, review, and negotiate a wide range of agreements, including NDAs, master sales agreements, and vendor contracts.
  • Compliance: Ensure adherence to applicable laws and regulations, including employment, privacy, and data security requirements.
  • Litigation Management: Oversee litigation and dispute resolution, manage outside counsel, and develop strategies to mitigate risk.
  • Mergers & Acquisition Support: Assist with due diligence, transaction documents, and integration planning for acquisitions and divestitures.
  • Policy Development: Contribute to internal policies, contract review processes, and compliance programs.
  • Juris Doctor (JD) from an accredited law school; admission to a state bar in good standing.
  • 7+ years of legal experience, preferably in a corporate or large law firm setting.
  • Strong knowledge of corporate law, commercial transactions, and regulatory compliance.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to manage multiple priorities and work collaboratively with business leaders.
  • Experience in M&A transactions and integration preferred.
  • Familiarity with employment law and intellectual property matters a plus
  • Comfort with technology-driven contract management tools a plus.
