About The Position

Ensemble Performing Arts is a high-growth, mission-driven owner and operator of performing arts schools and businesses. We are seeking an experienced corporate lawyer to join as Assistant General Counsel to serve as a key legal partner on corporate transactions that drive Ensemble’s roll-up strategy. The role is M&A-focused with additional responsibility for broad legal support to our business units. This is a full-time, remote position, with preference for candidates in the Eastern or Central time zones. You’ll operate with an owner mentality: working efficiently and independently while actively collaborating to build a scalable legal function in support of Ensemble’s mission. You’ll be in the middle of high-impact work with senior leaders, translating legal complexity into smart, practical business decisions.

Requirements

  • J.D. from an accredited law school and active U.S. state bar membership
  • 8+ years of legal experience with a strong focus on M&A, plus experience with commercial contracts
  • Strong business judgment with an entrepreneurial, strategic mindset
  • Excellent communication and relationship-building skills with the ability to influence our partners within and outside the organization
  • Highly organized, detail-oriented, and able to prioritize in a fast-paced environment
  • Executive presence and confidence while advising senior leadership
  • Curious, adaptable and motivated to grow with a scaling organization
  • Ability to translate complex legal/regulatory issues into clear, actionable guidance
  • High integrity, discretion and strong ethical standards

Responsibilities

  • Lead M&A and strategic transactions end-to-end (NDAs/LOIs, diligence, definitive agreements, closing, and integration support)
  • Serve as a trusted advisor to executives and operating businesses on operational, regulatory, compliance, and other legal matters
  • Draft, review, and negotiate a range of corporate and commercial agreements
  • Balance legal risk and business objectives to enable informed, high-quality decision-making
  • Build scalable legal infrastructure (e.g., templates, playbooks, and decision frameworks) to support growth while maintaining risk discipline
  • Manage outside counsel to ensure high-quality, efficient outcomes
  • Drive and execute cross-functional/cross-business initiatives
