About The Position

We’re excited to add an Assistant General Counsel, Commercial to our growing legal team! In this role, you will lead and manage a wide range of commercial legal matters, from structuring and negotiating complex contracts to supporting Elementl’s expanding procurement and project development efforts across our advanced nuclear portfolio. We’re looking for someone who thrives at the intersection of law and business, a trusted advisor who brings sound judgment, strong commercial instincts, and a practical approach to risk. You’ll work closely with internal teams and external partners to craft agreements that advance our projects, protect our interests, and enable our mission. You’ll play a key role in shaping Elementl’s commercial contracting strategies, supporting procurement (including RFPs and bid packages), and ensuring efficient, compliant execution across multiple project phases, from early development through construction and delivery. Collaboration is central to this role. Reporting to the General Counsel, you’ll partner with teams across Procurement, Project Management, and Operations, as well as with external stakeholders such as suppliers, contractors, and technology partners. Together, you’ll enable seamless, efficient commercial execution that supports Elementl’s growth in the clean energy sector.

Requirements

  • Juris Doctor (J.D.) from an accredited law school and an active license to practice law.
  • No less than four (4) years of commercial law experience.
  • Expertise in contract law, intellectual property, and regulatory compliance.
  • Ability to manage complex transactions independently.
  • Hands-on experience with commercial contracting and procurement, including RFPs and bid packages, master services, supply, and professional services agreements, technology licenses.
  • Familiarity with power purchase, O&M, and insurance agreements.
  • Experience in energy, infrastructure, or large-scale project development is strongly valued; nuclear experience is not required.
  • In-house experience is preferred but not mandatory.
  • Skilled at balancing legal risk with business enablement.
  • Familiar with CLM tools, procurement workflows, and data privacy requirements.

Responsibilities

  • Draft, review, and negotiate a wide range of commercial agreements, including EPC contracts, master service agreements, technology licenses, supply agreements, and vendor/procurement contracts.
  • Support the preparation and negotiation of procurement materials, including RFPs, bid packages, and related documentation.
  • Review and negotiate professional services, consulting, O&M, and insurance-related agreements.
  • Develop and implement contracting strategies that balance business objectives with thoughtful risk management.
  • Provide legal counsel for commercial transactions, ensuring compliance with applicable laws and regulations.
  • Support structuring, negotiation, and execution of transactions critical to Elementl’s project pipeline.
  • Partner with business teams to advance strategic initiatives and enable project success.
  • Identify and evaluate potential legal risks across Elementl’s commercial activities.
  • Advise on risk posture related to liability, indemnities, warranties, IP ownership, data privacy, and insurance.
  • Develop and implement strategies to mitigate identified risks while enabling business agility.
  • Ensure commercial practices comply with relevant energy, procurement, and data privacy laws.
  • Stay informed on emerging regulations affecting Elementl’s contracting activities.
  • Partner with contract managers to oversee the full contract lifecycle, including intake, triage, negotiation, execution, repository management, renewal tracking, and audit readiness.
  • Monitor key performance metrics and drive continuous improvement in contracting efficiency.
  • Provide timely, practical legal advice that aligns with business goals.
  • Build strong relationships with cross-functional teams and external partners.
  • Create and deliver training, templates, and tools that empower business teams and streamline contracting.
  • Foster a proactive, solution-oriented legal culture across the organization.
