The Restructuring and Special Situations Group (“RSSG”) advises large and middle market companies, creditor groups, private equity sponsors, and boards of directors in financially distressed situations, both in chapter 11 bankruptcy proceedings as well as in out-of-court liability management, restructuring and strategic advisory transactions. The group has been involved in the many of the largest and most high-profile reorganizations that have occurred over the past few decades, including restructurings for Caesars, Cineworld, Delta Airlines, Enron, Ford Motor Company, General Motors, Greece, iHeartMedia, Intelsat, LATAM Airlines, PG&E, Puerto Rico, and Westinghouse. RSSG has also led some of the most complex liability management transactions, including At Home, Carvana, Envision, Incora, J. Crew, and U.S Renal Care. In RSSG’s transactions, a wide range of strategic advisory services are provided including advice on recapitalizations, reorganizations, exchange offers, distressed mergers and acquisitions, raising debt and equity capital, and providing expert witness testimony on a variety of topics including corporate valuation. Summer Analysts in the Restructuring & Special Situations Group have the opportunity to develop a diverse and broad corporate finance skillset. Financial restructuring transactions are complex and involve multi-party negotiations with a number of key stakeholders including, among others, a board of directors, management, secured and unsecured lenders, equity holders, and, at times, the bankruptcy court. As the group utilizes relatively lean deal teams, summer analysts are integral to all aspects of a deal and are involved with the development, structuring, and financing of transactions and regularly attend both client and internal meetings, negotiations, and due diligence sessions.
