About the position
The Sr. Contract Manager, reporting to the Segment VP & Deputy General Counsel, will partner with cross-functional teams to review, draft, and negotiate a variety of commercial agreements, including terms of sale, master supply agreements, purchase orders, development agreements, vendor agreements, and NDAs. This role will advise the business on risks of our prospective commercial agreements and provide clear guidance to empower business leaders to make informed decisions, while meeting Excelitas' business objectives. It will be responsible for administering the Customer Offer Approval policy & process, and designing and implementing process improvements to enable Excelitas to more efficiently review and assess risk to the enterprise. This position is located at our corporate headquarters in Pittsburgh, PA.
Responsibilities
- Reviews, revises, and drafts medium to high-risk contracts, orders, and bids to drive business value while mitigating risk to the enterprise; works directly with business leadership to provide clear guidance on risk;
- Leads the negotiation of contracts directly with third parties, including autonomously drafting and negotiating agreements that capture business intent and clearly laying out the responsibilities of the parties;
- Manages the Customer Offer Approval (COA) process to facilitate efficient and informed decisions regarding commercial contract commitments and exposure; serves as a subject matter expert for the approval workflow;
- Drives change management and process improvements within Legal to enable sustainable growth for the business and help scale the commercial legal function;
- Supports project execution teams in the interpretation of our contractual obligations.
Requirements
- Bachelor's degree required; Juris Doctor (JD) preferred;
- Minimum 8+ years of commercial contracting and negotiating experience in a corporate legal department;
- Experience with IP licensing or development agreements a plus; experience with federal contracting a plus;
- Ability to operate effectively in an environment with high levels of ambiguity, including capability to multitask, prioritize and manage time and deadlines efficiently;
- Ability to deal with high levels of complexity, focusing on outcomes;
- Strong verbal and written skills with the capability to convey and simplify complex information;
- Continuous improvement mind-set and disposition.
