About the position

The Senior Director, Banking & Financial Institution Counsel will be required to review and negotiate technology contracts between Bottomline and banks and financial institutions in a fast-paced environment with the goal of internal stakeholder collaboration, risk mitigation, internal policy compliance, and corporate goals and objectives. This position will provide expert legal advice on a wide range of financial transactions, and topics and ensure compliance with regulatory standards and laws. The Senior Director, Banking & Financial Institution Counsel will navigate complex financial regulations and safeguard Bottomline’s interests in a constantly evolving financial landscape. This role is Hybrid and must be able to commute to Portsmouth NH.

Responsibilities

  • Review, draft, and negotiate license, SaaS, service and resale contracts with banks and other financial institutions.
  • Offer legal advice on banking regulations, compliance, and governance.
  • Collaborate with compliance, risk, and business teams on legal issues.
  • Monitor changes in financial regulations to provide proactive updates on potential impacts.
  • Lead the review, drafting, and negotiation of complex technology contracts and agreements between Bottomline and banks/financial institutions, ensuring favorable terms while mitigating risk.
  • Provide expert legal advice on banking and financial services regulations, ensuring compliance with all applicable laws, including but not limited to U.S. banking regulations, fintech industry requirements, and global financial regulatory frameworks.
  • Identify and assess legal risks associated with financial transactions, advising internal stakeholders on risk mitigation strategies in alignment with corporate objectives.
  • Partner closely with business leaders, sales teams, compliance officers, and other internal stakeholders to align contract terms and legal strategies with Bottomline’s broader business goals.
  • Advise on a variety of financial transactions, including payment processing, digital banking solutions, and financial technology services, ensuring adherence to legal and regulatory requirements.
  • Support the development and implementation of internal policies, governance frameworks, and best practices to ensure compliance with evolving financial and technology regulations.
  • Provide legal support on disputes and regulatory inquiries involving financial institutions, working with external counsel as needed.
  • Stay up to date with changes in banking, financial services, and fintech regulations, proactively advising leadership on potential impacts to Bottomline’s business.

Requirements

  • Proven track record in drafting, reviewing, and negotiating agreements with financial institutions.
  • Deep understanding of federal and state banking regulations and compliance requirements.
  • Excellent negotiation and communication skills with the ability to manage multiple stakeholders.
  • Ability to manage and prioritize multiple projects and deadlines.
  • Extensive experience negotiating and managing complex contracts with banks and financial institutions.
  • Strong business acumen and ability to align legal strategies with corporate objectives.
  • Ability to work in a dynamic, fast-paced environment with evolving regulatory landscapes.
  • Experience in a fintech, banking, or financial services environment.
  • Familiarity with payments, SaaS agreements, and digital banking solutions.
  • Previous in-house counsel experience supporting financial institutions.
  • Minimum of 10 years of experience in federal and state banking, finance and data protection laws, regulations, compliance, and applicable rules (e.g., FDIC, CFPB, FinCEN, AML, KYC, NACHA, PCI, etc.).
  • Juris Doctor (JD) degree from an accredited law school.
  • Membership in good standing with a state bar association.
