About the position

As a Senior Counsel at Energy Vault, you will report to the Chief Legal Officer / General Counsel and serve as a key member of the legal team to support primarily the commercial and EPC efforts of the company. Your mission includes drafting, negotiating, and analyzing a broad range of commercial contracts, advising business teams on various legal issues, and providing timely legal guidance on corporate matters, intellectual property, and risk assessment.

Responsibilities

  • Draft, negotiate, and analyze a broad range of commercial contracts, including EPC Agreements, LTSAs, Software Agreements, and agreements with subcontractors.
  • Structure, draft, review, and negotiate a variety of other/related commercial agreements.
  • Advise business teams regarding issues that arise during construction, including change orders, waivers, and force majeure notices.
  • Provide timely and efficient commercial legal guidance on a broad range of business topics, including general corporate matters, intellectual property, commercial law, UCC, dispute resolution, commercial liability, and risk assessment.

Requirements

  • JD from an accredited law school.
  • Member of a state bar in good standing.
  • 4+ years' total work experience after law school.
  • 3+ years' experience with EPC contract drafting and negotiations.
  • 2+ years' experience in power generation, renewables, and/or energy storage.
  • Demonstrated ability to handle multiple legal matters successfully and efficiently.
  • Ability to understand and analyze complex legal matters and communicate effectively.
  • Direct experience with assessing legal and business risk.
  • Strong problem-solving skills and results-focused mindset.
  • Effective communication skills, both written and verbal.
  • Willingness to travel up to 10%.
  • Comfortable thriving in fast-paced, rapid growth environments.
