About the position

Roku is seeking a Senior Counsel, Business and Legal Affairs (Corporate - Securities and Governance), with experience in public company reporting and corporate governance to join its Corporate Legal team. You will work closely with Roku's Legal and cross-functional teams advising on a range of securities, governance, and transactional matters. A successful candidate must have experience representing U.S. public companies in securities and corporate governance matters at a leading law firm. The role requires an entrepreneurial mindset and the ability to work independently and as a member of a close-knit Corporate Legal team. Responsibilities

  • Partner with cross-functional teams on SEC reporting and securities compliance matters, including support in connection with the preparation of periodic reports, proxy statements, and registration statements
  • Manage Section 16 reporting, including Forms 3, 4, and 5, ensuring compliance with reporting requirements
  • Advise on domestic corporate governance matters, as well as compliance with applicable securities laws and regulations and Nasdaq stock exchange rules
  • Prepare materials for Board of Directors and committee meetings and the annual meeting of stockholders
  • Advise on and administer certain corporate and executive policies and programs, such as the insider trading policy and Rule 10b5-1 plans
  • Assist in providing legal support for Investor Relations and Corporate Communications, including reviewing press releases, white papers, presentations, and other marketing materials
  • Assist with transactional matters, such as debt and equity financings, as the need arises
  • Review, draft, and negotiate commercial agreements with service providers, vendors, landlords, and other third parties, as the need arises

Requirements

  • At least 5 years of experience providing legal advice in most of the areas mentioned above
  • Experience practicing as a securities, corporate governance, or capital markets attorney at a leading law firm
  • Proficiency in U.S. securities and corporate laws, corporate governance, and board governance matters, including best practices
  • Significant experience with coordination and timely filing of disclosure documentation with the SEC and stock exchanges
  • Strong written and oral communication skills
  • An ability to apply skills to develop expertise in areas outside of existing skill set
  • An ability to thrive in a fast-paced environment, utilizing effective organizational skills to prioritize and manage deadlines for multiple simultaneous projects for multiple stakeholders
  • An ability to work collaboratively in a cross-department, cross-functional role
  • A willingness to actively suggest process improvements in the course of completing assignments
  • Willingness to assume increasing responsibility and roll up sleeves (no job too big, no job too small)
  • A Bachelor's degree and a Juris Doctorate degree from a U.S. accredited law school
  • A license to practice law in the state of California or New York (as appropriate)
