About the position

Soleo Health is seeking a Director of Corporate Counsel to support our core business needs Remotely (USA) Central or Eastern Standard Time preferred. Join us in Simplifying Complex Care! The Director of Corporate Counsel will report to the Vice President, Associate Counsel and will be responsible for a broad range of health care matters, including supporting the Company’s contracting needs, completing legal research, reviewing marketing and promotional materials, and managing outside counsel engagements where needed for expertise. The Director, Corporate Counsel, should be an experienced health care, corporate and transaction attorney capable of supporting the Company’s strategic business goals through risk assessment and problem resolution.

Responsibilities

  • Broad based operational contract support, including drafting, negotiating, and advising on legal risk with respect to supply chain and procurement contracts, vendor agreements, technology and data agreements, pharmaceutical distribution agreements, leases, IT services agreements, HIPAA business associate agreements, study agreements, real estate and facilities agreements, medical office leases, and confidentiality and non-disclosure agreements.
  • Manage outside counsel for contracts in which expertise is needed.
  • Develop or review and update the Legal Department’s contract templates and related contracting policies as needed.
  • Monitor and provide proactive advice on legal developments affecting the business, including emerging trends in contract law, trademark and trade secret protections, licensing, open-source code risks, and AI generated content and copyright considerations.
  • Conduct legal research, including contract law, Uniform Commercial Code (UCC), consumer protection and deceptive advertising laws, Lanham Act, direct to consumer advertising, federal anti-kickback and discount safe harbors, zoning and land use compliance of corporate properties, and commercial lease negotiation best practices.
  • Consult with and manage outside counsel engagements where needed for expertise.
  • Review marketing, advertising, and promotional materials to ensure compliance with applicable health care regulations, industry standards, and Company policy.
  • Perform other duties and responsibilities as may be assigned from time to time in support of the Legal Department goals and objectives.

Requirements

  • Completion of a bachelor’s degree (B.A. or B.S.) and a Juris Doctor (J.D.) degree.
  • Minimum of 5 years' experience in healthcare companies or law firms, providing counsel to healthcare clients.
  • Essential experience in contracting and transactions for healthcare clients.
  • Desired experience in reviewing and negotiating research agreements.
  • Preferred background in advising on a broad spectrum of healthcare laws, including the False Claims Act, anti-kickback statutes, self-referral laws, HIPAA, and data privacy regulations.
  • Proficiency expected in Windows, MS Office (Word, Excel, PowerPoint), Outlook, Microsoft Teams, Zoom/GoToMeeting, and internet usage.
