About the position

As the Deputy General Counsel - Commercial, you will lead Altana's commercial legal function with responsibility for all aspects of commercial contracting and corporate transactions, focusing on the drafting, review, and negotiation of revenue-generating contracts, partnerships, and M&A deals. You will serve as a strategic advisor to commercial and company leadership on all commercial legal matters, enhancing and scaling the commercial contracting function to support Altana's continued growth.

Responsibilities

  • Oversee and manage a high volume and velocity pipeline of customer-facing commercial contracts (SaaS) and corporate transactions, including complex partnerships and M&A transactions.
  • Develop and refine processes, runbooks, and systems to ensure efficient and scalable contracting operations.
  • Provide strategic legal advice to commercial and company leadership on complex commercial matters and corporate transactions.
  • Proactively identify opportunities to increase the speed and efficiency of the customer sales cycle and corporate deal processes.
  • Drive continuous improvement of standard form agreements and contracting practices.
  • Serve as a trusted advisor and strategic partner to key stakeholders in sales and business development teams.
  • Collaborate closely with cross-functional teams to ensure compliance with applicable laws and regulations.

Requirements

  • Minimum of 10 years of combined experience in a highly ranked law firm and the in-house legal department of a technology company.
  • Extensive expertise in commercial contracting and corporate transactions, particularly in delivering SaaS agreements and M&A deals at speed and scale.
  • Proven track record of successfully building and scaling contracting processes and teams.
  • Deep understanding of software and data licensing transactions, data protection, commercial contracting, and intellectual property.
  • Exceptional problem-solving skills, with the ability to approach issues from first principles and draft novel contracts.
  • Strong interpersonal and communication skills, with the ability to work independently and collaboratively.
  • Active membership in good standing with the New York Bar Association.
