About The Position

The Corporate Transaction Lawyer is an integral part of Latham’s Practice Services Team. This role will be responsible for applying knowledge and experience to provide high-quality, specialized support across the Latham platform, conducting due diligence through the review of commercial contracts and other legal documents as part of corporate transactions to identify important provisions and terms. This role will be located in our Houston office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Requirements

  • Exhibit excellent organizational and analytical skills (e.g., organizing, planning, problem-solving and decision-making)
  • Demonstrate well-developed and professional interpersonal skills and emotional intelligence with the ability to interact effectively with people at all organizational levels of the firm, and recognize sensitivities, adapting approach dependent on relevant circumstances
  • Possess the ability to work effectively both independently and in a team environment with a customer-service focus
  • A minimum of two (2) years’ related experience at a law firm or with a reputable in-house team
  • A JD or equivalent from US ABA recognized law school, qualifying law degree and legal practice course, or other Bachelor’s degree with a graduate diploma in law and legal practice course
  • Admission as a solicitor in England and Wales and holding a current practicing certificate, or admission to practice law in a relevant US state

Responsibilities

  • Actively preparing summaries of the results of the review of corporate documents, including change-of-control triggers, anti-assignment provisions, most-favored-nation clauses, and other contract-based red flags raised by the proposed transaction
  • Effectively interacting with associates, counsel, and partners to seek guidance on the terms and provisions that are relevant to a specific transaction, and to provide updates on and legal analysis
  • Efficiently using office technology to complete required tasks, such as writing reports and other documents in Microsoft Word; creating and editing contract summaries, trackers and other documents in Microsoft Excel; utilizing Asana for project management and collaboration; and leveraging Kira to identify contracts and provisions for due diligence and other tasks
  • Regularly attending training sessions and team meetings with other Corporate Transaction Lawyers, and assists with continual training of team and incoming team-members
  • Maintaining accurate timecards to account for hours worked in support of legal and firm matters
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains
