About The Position

This role serves as the legal lead for the company’s public company reporting, corporate governance, and capital markets activities. This is a high-impact, high-visibility role offering meaningful ownership of core public company functions and direct involvement in the company’s strategic growth, financing, and governance initiatives. The role offers broad exposure to complex financing, governance, and strategic matters arising from a rapidly evolving business operating at the intersection of energy infrastructure, AI infrastructure, and digital assets. You will own the SEC reporting lifecycle, including oversight and preparation of all 10-K, 10-Q, 8-K, proxy, and related securities filings, while ensuring high standards of accuracy, compliance, and disclosure controls. You will partner closely with the Chief Legal Officer, executive leadership team, and Board of Directors on governance, disclosure, and other public company matters. This includes managing governance processes and documentation, including Board and committee materials, governance policies, and Nasdaq compliance, while helping scale the company’s public company and governance infrastructure as the business continues its rapid growth. You will lead legal support for capital markets and financing transactions and assist with other strategic corporate transactions. While the role has primary responsibility for public company and securities matters, it also provides meaningful exposure to broader strategic, financing, and enterprise-level legal and business issues. In addition, you will partner cross-functionally with Finance, Investor Relations, HR, Tax, Treasury, and outside counsel on broader corporate, financing, and securities matters, including subsidiary management, insider trading compliance and reporting, equity compensation matters, and related corporate governance activities. This role is best suited for someone who is comfortable operating with a high degree of ownership and autonomy in a dynamic environment and who is energized by the opportunity to help build and scale a growing public company platform.

Requirements

  • Capable of operating independently in a fast-paced environment.

  • Substantial experience advising public companies on SEC reporting, disclosure obligations, corporate governance, capital markets transactions, and related securities law matters.
  • Combination of top-tier law firm training and meaningful in-house experience.
  • Technical depth and a practical, business-oriented approach to problem solving.
  • Comfortable working directly with executive leadership, Boards of Directors, and cross-functional stakeholders.
  • Ability to communicate clearly and effectively across legal and business teams.
  • Highly organized, detail-oriented.
  • Capable of managing multiple high-priority workstreams simultaneously without sacrificing responsiveness or quality.
